These Terms of Use apply to the website located at www.pieinsurance.com or any other linked Pie owned websites, including but not limited to media.pieinsurance.com and agencies.pieinsurance.com (collectively the “Site”). The Site is the property of Pie Group Holdings, Inc. (“Pie”, “us”, “our”, and “we”). BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE. IF YOU DO NOT AGREE TO THESE TERMS OF USE, DO NOT USE THE SITE.
Pie reserves the right to change these Terms of Use at any time and without notice. It is your responsibility to check these Terms of Use periodically and your continued use of the Site will mean that you accept and agree to the changes. As long as you comply with these Terms of Use, Pie grants you a limited, revocable, non-exclusive, non-transferable and limited license to enter and use the Site.
In order to use certain features of the Site, you must register for an account (“Account”) and provide certain information about yourself as prompted by the account registration form. You represent and warrant that: (a) all required registration information you submit is truthful and accurate, and (b) you will maintain the accuracy of such information. Pie may suspend or terminate your Account in accordance with these Terms of Use or for any reason outlined in any Agreement between you and Pie.
You are responsible for maintaining the confidentiality of your Account login information and are fully responsible for all activities that occur under your Account. You agree to immediately notify Pie of any unauthorized use, or suspected unauthorized use of your Account, or any other breach of security. Pie is not liable for any loss or damage arising from your failure to comply with the above requirements.
The rights granted to you in these Terms are subject to the following restrictions: (a) you may not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site, whether in whole or in part, or any content displayed on the Site; (b) you may not share any of your credentials to access any non-public portions of the site, and each user must have its own login credentials; (c) you may not modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Site; (d) you may not access the Site in order to build a similar or competitive website, product, or service; and (e) except as expressly stated herein, no part of the Site may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means. You may not probe, scan, or test the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures on the Site or any network connected to the Site. You may not reverse look-up, trace, or seek to trace any information on any other user of or visitor to the Site, or any other customer of Pie, including any Pie account not owned by you, to its source, or exploit the Site or any service or information made available or offered by or through the Site, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Site.
You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site or Pie’s systems or networks, or any systems or networks connected to the Site or to Pie.
You agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of the Site or any transaction being conducted on the Site, or with any other person’s use of the Site.
You may not use the Site or any Content for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of Pie or others.
You acknowledge and agree that Pie has no obligation to provide you with any support or maintenance in connection with the Site.
Excluding any User Content that you may provide (defined below), you acknowledge that all the intellectual property rights, including copyrights, patents, trade marks, and trade secrets, in the Site and its content are owned by Pie or Pie’s suppliers. Neither these Terms of Use (nor your use and access to the Site) transfers to you or any third party any rights, title, or interest in or to such intellectual property rights, except for the limited access rights expressly set forth in these Terms of Use. Pie and its suppliers reserve all rights not granted in these Terms. There are no implied licenses granted under these Terms.
“User Content” means any and all information and content that a user submits to, or uses with, the Site (e.g., content in the user’s profile or postings). You are solely responsible for your User Content. You assume all risks associated with use of your User Content, including any reliance on its accuracy, completeness, or usefulness by others, or any disclosure of your User Content that personally identifies you or any third party. You hereby represent and warrant that your User Content does not violate these Terms of Use. You may not represent or imply to others that your User Content is in any way provided, sponsored, or endorsed by Pie. Because you alone are responsible for your User Content, you may expose yourself to liability if, for example, your User Content violates these Terms of Use. Pie is not obligated to backup any User Content, and your User Content may be deleted at any time without prior notice. You are solely responsible for creating and maintaining your own backup copies of your User Content if you desire.
You hereby grant (and you represent and warrant that you have the right to grant) to Pie an irrevocable, nonexclusive, royalty-free, and fully paid, worldwide license to reproduce, distribute, publicly display and perform, prepare derivative works of, incorporate into other works, and otherwise use and exploit your User Content, and to grant sublicenses of the foregoing rights, solely for the purposes of including your User Content in the Site. You hereby irrevocably waive (and agree to cause to be waived) any claims and assertions of moral rights or attribution with respect to your User Content.
Each Site user is solely responsible for any and all of its own User Content. Pie does not control User Content. You acknowledge and agree that we are not responsible for any User Content, whether provided by you or by others. We make no guarantees regarding the accuracy, currency, suitability, or quality of any User Content. Your interactions with other Site users are solely between you and such users. You agree that Pie will not be responsible for any loss or damage incurred as the result of any such interactions. If there is a dispute between you and any Site user, we are under no obligation to become involved.
Pie’s Privacy Policy applies to the use of this Site and is made a part of these Terms of Use. A dditionally, by using the Site, you acknowledge and agree that Internet transmissions are never completely private or secure. You understand that any message or information you send to the Site may be read or intercepted by others, even if there is a special notice that a particular transmission (for example, credit card information) is encrypted.
The Site may contain links to third-party websites and services, and/or display advertisements for third parties (collectively, “Third-Party Links and Ads”). Such Third-Party Links and Ads are not under the control of Pie, and Pie is not responsible for any Third-Party Links and Ads. Pie reserves the right to determine all eligibility for such products and services in its sole discretion.
We do not in any way imply that the materials on the website or the products we discuss are available or for use outside the United States or in jurisdictions in which we are not licensed to do business or that we are soliciting business in any such jurisdiction. Pie does not guarantee that all products currently offered on our website will remain available on an ongoing basis.

These descriptions are not a part of an insurance contract or policy and do not amend, revise, or alter the terms of any policy or endorsement issued through or services provided by Pie. Your coverage is subject to the terms and conditions of your insurance policy.
Pie does not solicit Feedback on its Site. If you provide Pie with any feedback or suggestions regarding the Site (“Feedback”), you hereby assign to Pie all rights in such Feedback and agree that Pie has the right to use and fully exploit such Feedback and related information in any manner it deems appropriate. Pie will treat any Feedback you provide as non-confidential and non-proprietary. You agree that you will not submit to Pie any information or ideas that you consider to be confidential or proprietary.
You agree to defend, indemnify, and hold Pie, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, subsidiaries, and affiliates harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees) from any claim or demand made by any third party due to or arising out of (a) your use of the Site, (b) your violation of these Terms, (c) your violation of applicable laws or regulations, or (d) your User Content. Pie reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Pie.
You hereby release and forever discharge Pie, its officers, employees, agents, successors, and assigns, affiliates, and subsidiaries from, and do waive and relinquish, each and every past, present and future dispute, claim, controversy, demand, right, obligation, liability, action, and cause of action of every kind and nature, including personal injuries, death, and property damage, that has arisen or arises directly or indirectly out of, or that relates directly or indirectly to, the Site (including any interactions with, or act or omission of, other Site users or any Third-Party Links and Ads).
THE SITE IS PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS, AND PIE, AND OUR SUPPLIERS, EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. WE AND OUR SUPPLIERS MAKE NO WARRANTY THAT THE SITE WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE. IF APPLICABLE LAW REQUIRES ANY WARRANTIES WITH RESPECT TO THE SITE, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF FIRST USE. PIE DISCLAIMS ANY AND ALL LIABILITY FOR THE ACTS, OMISSIONS, AND CONDUCT OF ANY THIRD PARTIES IN CONNECTION WITH OR RELATED TO YOUR USE OF THE SITE AND/OR ANY PIE SERVICES. YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE SITE AND ANY LINKED SITES. YOUR SOLE REMEDY AGAINST PIE FOR DISSATISFACTION WITH THE SITE OR ANY CONTENT IS TO STOP USING THE SITE OR ANY SUCH CONTENT. THIS LIMITATION OF RELIEF IS A PART OF THE BARGAIN BETWEEN THE PARTIES.

Pie reserves the right to do any of the following, at any time, without notice: (1) to modify, suspend or terminate operation of or access to the Site, or any portion of the Site, for any reason; (2) to modify or change the Site, or any portion of the Site, and any applicable policies or terms; and (3) to interrupt the operation of the Site, or any portion of the Site, as necessary to perform routine or non-routine maintenance, error correction, or other changes.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PIE OR OUR SUPPLIERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS, OR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF PIE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO, AND USE OF, THE SITE IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR COMPUTER SYSTEM, OR LOSS OF DATA RESULTING THEREFROM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THIS AGREEMENT (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION), WILL AT ALL TIMES BE LIMITED TO A MAXIMUM OF FIFTY US DOLLARS (U.S. $50). THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT. YOU AGREE THAT OUR SUPPLIERS WILL HAVE NO LIABILITY OF ANY KIND ARISING FROM OR RELATING TO THIS AGREEMENT.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you.
Pie may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact, or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) Pie’s rights or property, or the rights or property of visitors to or users of the Site, including Pie’s customers. Pie reserves the right at all times to disclose any information in accordance with its Privacy Policy or that is necessary to comply with any applicable law, regulation, legal process, or governmental request.
You acknowledge and agree that Pie may preserve any transmittal or communication by you with Pie through the Site or any service offered on or through the Site, and may also disclose such data if required to do so by law or Pie determines that such preservation or disclosure is reasonably necessary to (1) comply with legal process, (2) enforce these Terms of Use, (3) respond to claims that any such data violates the rights of others, or (4) protect the rights, property or personal safety of Pie, its employees, users of or visitors to the Site, and the public.
You agree that Pie may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Site.
You agree that Pie may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes (but is not limited to) (1) requests by law enforcement or other government agencies, (2) a request by you (self-initiated account deletions), (3) discontinuance or material modification of the Site or any service offered on or through the Site, or (4) unexpected technical issues or problems.
If Pie does take any legal action against you as a result of your violation of these Terms of Use, Pie will be entitled to recover from you, and you agree to pay all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to Pie. You agree that Pie will not be liable to you or to any third party for termination of your access to the Site as a result of any violation of these Terms of Use.
These Terms of Use shall be governed and construed in accordance with the laws of the United States of America and the District of Columbia, without giving effect to conflicts-of-law principles thereof. You agree to submit to the personal jurisdiction of the state and federal courts located in District of Columbia with respect to any legal proceedings arising out of this agreement and waive any objection to the propriety or convenience of venue in such courts. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of this Site or these terms and conditions must be filed within one (1) year after such claim or cause of action arose. If any provision of the Terms of Use are found by a court of competent jurisdiction to be invalid or unenforceable, such provision will be enforced to the maximum extent permissible and the other provisions of the Terms of Use will remain in full force and effect.
Any additional agreements that you have with us are separate from these Terms of Use. Please be advised that these Terms of Use do not modify, amend, or revise the terms or conditions of any other Pie agreement.
Void Where Prohibited
Pie administers and operates the www.pieinsurance.com , media.pieinsurance.com, and agencies.pieinsurance.com Sites from its location in Washington, DC USA. Although the Site is accessible worldwide, not all features, products, or services discussed, referenced, provided, or offered through or on the Site are available to all persons or in all geographic locations, and none of the features, products, or services are available outside of the United States. If you choose to access the Site from outside the United States, you do so on your own initiative and you are solely responsible for complying with applicable local laws.
If you are a California resident, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Product of the California Department of Consumer Affairs by contacting them in writing at 400 R Street, Sacramento, CA 95814, or by telephone at (800) 952-5210.
The communications between you and Pie use electronic means, whether you use the Site or send us emails, or whether Pie posts notices on the Site or communicates with you via email. For contractual purposes, you (a) consent to receive communications from Pie in an electronic form; and (b) agree that all terms and conditions, agreements, notices, disclosures, and other communications that Pie provides to you electronically satisfy any legal requirement that such communications would satisfy if it were be in a hardcopy writing. The foregoing does not affect your non-waivable rights.
These Terms of Use constitute the entire agreement between you and us regarding the use of the Site. Our failure to exercise or enforce any right or provision of these Terms of Use will not operate as a waiver of such right or provision. The section titles in these Terms of Use are for convenience only and have no legal or contractual effect. The word “including” means “including without limitation.”
